Based in our Woolloomooloo office, reporting to our COO, you will ensure compliance with statutory and regulatory requirements, and provide guidance for the Board on corporate governance matters. 

This varied position will also offer an opportunity to assist the Corporate Communications Manager with the Annual Report; responsibility for the operational side of board meetings and the AGM; participation at governance committee meetings; clerical responsibilities plus ownership of the complex and specialised issues.

Your excellent interpersonal, stakeholder relationship management and influencing skills will be utilised and valued during your significant liaison with the COO, CEO, the Board and senior leaders.

Key aspects of your role will be:

  • Advise the Board and particularly the Chair on current best practice corporate governance requirements and practices, directors’ duties under the law, board reporting and proper meetings’ procedure;
  • Organise, prepare and circulate agendas and materials for, and take minutes of Board meetings and general meetings of members;
  • Collate information ensure decisions made are communicated to the relevant stakeholders;
  • Liaise with external regulators and advisers, such as the Australian Charities and Not-for-profits Commission;
  • Maintain statutory books, including registers of members and directors;
  • Manage Committee Charters;
  • Assist with compilation of the Annual Report and distribution to members;
  • Work with the General Counsel to monitor changes in relevant legislation and the regulatory environment and take appropriate action;

With your Governance expertise, essential to success will be your previous experience as a Company Secretary, supported with tertiary qualifications in law (accounting and/or related filed would be considered). With your previous experience, you will know that the difference between good and great in this role are planning skills; an eye for detail; solid judgement; effective communication ; integrity and independence; underpinned by your ability to interact with all levels of seniority with confidence and certainty.
