SUMMARY OF POSITION AND KEY RESPONSIBILITIES

Working alongside the President, Treasurer and other Board Members, the Chair of the Board of Directors plays a crucial leadership role in guiding and overseeing the strategic direction and governance of VADANZ. This position requires a dynamic and visionary leader with a deep commitment to the organisation's mission and values, along with a strong understanding of the health sector.

As part of a small dynamic team in a newly formed organisation, the Chair is integral to the development and success of the organisation.

Key Responsibilities:

The chair is responsible for leadership of the board including:

  • facilitating proper information flow to/from the board;
  • facilitating the effective functioning of the board including managing the agenda, conduct, frequency and length of board meetings;
  • communicating the views of the board, in conjunction with the President, to the organisation’s members, broader stakeholders and to the public; and
  • setting the tone, promoting and monitoring the organisation’s culture.

In performing their role, the chair’s responsibilities also include:

  • In consultation with the President/Secretary:
    • setting the agenda for the matters to be considered by the board;
    • seeking to ensure that the information provided to the board is relevant, accurate, timely and sufficient to keep the board appropriately informed of the performance, finances, affairs, opportunities and challenges of the organisation, and of any developments that may have a material impact on it; and
    • seeking to ensure that communications with stakeholders, regulators and the public are timely, accurate and relevant;
    • facilitating open and constructive communications amongst board members and encouraging their contribution to board deliberations;
    • overseeing and facilitating any board or committee evaluation, reviews and succession planning;
    • liaising with and counselling, as appropriate, board members.
  • Subject to the terms of the constitution, the chair is appointed by the board and holds office at the discretion of the board until removed from office by the board or until the chair resigns from office or is no longer a board member.
  • In the absence of the chair, the deputy chair (if there is one appointed by the board) or the senior or lead independent director, should assume the role that otherwise would be performed by the chair if the chair was present.
  • It is preferable that the chair be an independent board member, except in special circumstances approved of by the board.

TERMS AND CONDITIONS OF EMPLOYMENT

This role is a voluntary part-time position, requiring a minimum of 12 hours per month. There will be some flexibility required and likely to be interstate and international travel.

SELECTION CRITERIA

  • Demonstrated governance experience and a record of achievement as a Board Chair ideally gained within the Health or Not-for-Profit sectors.
  • Experience working with Federal or State Government health agencies in Australian and/or New Zealand and in providing strong advocacy in representing an organisation.
  • Established executive career with senior leadership roles.
  • Collaborative, respectful and inclusive leadership style and the ability to build a productive team culture and strong relationships with colleagues and stakeholders.
  • Most importantly the Chair must be aligned with the values and strategic mission of the organisation in supporting the VAD community.
