About the Role

We are seeking an Assistant Company Secretary to join our team on a 12–15 month fixed-term contract to cover parental leave.

Working closely with the General Counsel and Company Secretary, this role supports the smooth operation of the Foundation’s governance processes. The Assistant Company Secretary plays a pivotal role in supporting the smooth operation of Board and Committee activities and the organisation's compliance with record-keeping, reporting, and regulatory requirements and ensure high standards of corporate governance across the organisation.

This is an excellent opportunity for a governance professional to contribute to a purpose-driven organisation while gaining exposure to Board-level governance.

Key Responsibilities

  • Support the planning and coordination of Board and Committee meetings, including preparation and review of agendas, papers and governance documentation.
  • Maintain governance registers and records, including director and member registers, conflicts of interest, and governance-related reporting.
  • Ensure accurate and organised record-keeping of Board and Committee decisions, minutes, and action items.
  • Assist with the development and review of governance policies and procedures.
  • Support the Company Secretary with forward planning of Board and Committee work programs.
  • Assist with regulatory filings and compliance obligations across PRF group entities.
  • Provide accurate input on governance documentation, including constitutional rules and Terms of Reference.
  • Liaise with Board members, senior executives and internal stakeholders, providing timely governance support.
  • Assist with training and guidance on governance and compliance matters.
  • Contribute to governance and organisational projects as required.

About You

You are a highly organised governance professional who thrives in environments that require precision, judgement, and strong stakeholder engagement with 2–3 years’ experience in a governance, company secretariat or similar role.

You bring:

  • Strong organisational skills and excellent attention to detail.
  • The ability to manage multiple priorities and deadlines.
  • A team player and creative problem solver determined to translate ideas into actions and seek concrete results.
  • Strong written and interpersonal communication skills.
  • Experience with Board management systems and Microsoft Office (experience with Diligent is advantageous).
