The opportunity

This position is responsible for governance support to CB-Virtual Solutions (CBVS) client boards and committees and for compliance with the relevant provisions of the Corporations Act 2001, the various client companies’ constitutions and the law.

Key areas of responsibility include:

  • Governance - Advise boards and committees on governance matters and monitor compliance with board and committee policy and procedures.
  • Board and committee meetings – Set the annual calendar of board and committee meetings, manage board and committee meeting logistics, liaise with the relevant Chairs to set the agenda for board and committee meetings, coordinate the timely completion and despatch of board and committee meeting papers and ensure that the business of board and committee meetings is accurately captured in the minutes.
  • General meetings - Convene general meetings upon the request of the Board and as required by the Constitution and Corporations Act 2001 and ensure that the business of general meetings is accurately captured in the minutes.

Key requirements

  • Experience and knowledge of the operation and governance processes of boards and committees (experience with Community Bank Boards will be an advantage)
  • Completion of relevant training in board and governance processes (preferred)
  • Previous experience managing meeting logistics, including venue arrangements and document preparation
  • Practical experience of taking meeting minutes
  • Meticulous in preparing documents
  • Strong verbal and written communication skills
  • Strong team focus and exceptional client and team interpersonal skills
  • Ability to work to a high ethical standard ensuring professionalism and confidentiality
  • Strong analytical and problem-solving skills with exceptional attention to detail
  • Sound computer software skills (specifically MS Word and Adobe Acrobat Pro)
