Family Planning NSW is the state's leading provider of reproductive and sexual health services.
We are experts on reproductive and sexual health and provide clinical services and health information to people throughout NSW and in the Pacific.
We are an independent, not for profit organisation responsible to a voluntary board of directors and we rely on government funding, donations and self-generated income to provide our services. Our government funding comes from the Federal and NSW governments, as well as Local Health Districts.
Founded in 1926, we are the oldest family planning service in Australia, providing reproductive and sexual health care services and information to the community for 95 years.
Position Overview
As the chief governance specialist for FPNSW this role plays an important part in supporting the board and its committees to effectively meet its responsibilities and obligations under the Australian Charities and Not for Profit Commission (ACNC) Act, the Corporations Act 2001 and other applicable legislations.
The scope of role includes legal, risks, compliance and governance activities while working closely with the Board and CEO to manage day to day company secretarial and board governance requirements. This includes periodic compliance reviews against all key frameworks and regulations.
In addition, as an Officer under the Corporations Act, the role has many of the same duties and obligations as a director.
As the Company Secretary the role:
- Provides high quality secretariat and governance services
- Supports the Board and committees to carry out their roles
- Discharges duties with care and diligence, in good faith and for a proper purpose.
Selection Criteria
Minimum qualification:
- Successful completion of a Graduate Diploma of Applied Corporate Governance from Governance Institute of Australia (GIA) or
- Similar course of study through the Chartered Governance Institute, or
- An appropriate tertiary legal qualification.
Desirable qualification:
- Formal qualifications showcasing your commitment to high governance standards from the GIA or a similar body
- Graduate member of AICD
Experience:
- Minimum 1 year experience as a Company Secretary or Assistant Company Secretary
