Organisation Overview
Villa Kitty Foundation is a reputable not-for-profit organisation operating in animal welfare, committed primarily to improving the quality of life for Bali’s cats and kittens. With a strong presence in Bali and indeed the wider Asian region, the organisation plays a vital role in vaccinating rescuing, sponsoring, fostering, adopted cats and kittens, sterilising fostered and rescued cats and kittens, working with other animal welfare organisations to reduce costs and improve scale, teaching the local community about the benefits of caring for, fostering and owning cats and kittens, training local employees to operate an animal shelter population and improve the animal welfare culture within the community. The organisation is establishing an Australian Company Limited by Guarantee, with Deductible Gift Recipient (DGR) status to improve benefits to donors, improve our income for operations, and support the long-term growth of our organisation.
Position Overview
We are seeking experienced and dedicated individuals to join our Board of Directors as Non-Executive Directors. As a Non-Executive Director, you will provide strategic guidance, oversight, and governance to ensure the organisation fulfils its mission, remains financially sustainable, and complies with all relevant laws and regulations. Candidates with demonstrated experience in Finance & Accounting, NFP Taxation, Fundraising, Social Media content development and deployment, Business Continuity, basic Crisis Management, Human Resources and/or Balinese customs, culture and language skills (both written and spoken) will be highly regarded. Veterinary experience or exposure to animal welfare would also be highly regarded.
Purpose
The Treasurer oversees the financial affairs of the organisation, ensuring legal compliance, financial sustainability, and transparent reporting to the board and regulatory bodies.
Key Responsibilities
- Oversee financial management and ensure accurate record-keeping
- Monitor bank accounts and approve or recommend transactions
- Lead the budgeting process and present regular financial reports
- Ensure compliance with ACNC, ATO, and other reporting obligations
- Liaise with the charity’s accountant or bookkeeper
- Present the annual financial report at the AGM
- Ensure secure and efficient donation and transfer processes (e.g. to Villa Kitty Foundation in Bali)
- Advise the board on financial risks, reserves, and sustainability
Preferred Skills & Experience
- Familiarity with financial reporting (Xero preferred, or spreadsheets)
- Understanding of charity governance, compliance and reporting (especially ACNC)
- Financial or accounting background (not essential but desirable)
- Integrity, attention to detail, and reliability
This role has a 1 year term with options for a following year x 2. Candidates may apply for the same role again for a second and third term of 3 years each, (3 x 3 year terms in total) before rotating out of the organisation. This process is designed to improve effectiveness by facilitating fresh thinking, encouraging appropriate challenge to norms, positive disruption to dynamics and, connecting with new additional networks.
Key Responsibilities of all NED board members
Strategic Leadership:
- Participate actively in strategic planning discussions, offering insights and perspectives that align with the organisation's mission and goals.
- Contribute to the development and refinement of long-term strategies to enhance the organisation's impact and reach.
Governance and Compliance:
- Ensure the organisation operates in accordance with its constitution, bylaws, and all relevant laws, regulations, and codes of practice.
- Oversee the establishment and adherence to ethical guidelines, policies, and best practices.
- Monitor and manage potential conflicts of interest and maintain the highest level of integrity in all decision-making processes.
Financial Stewardship:
- Review and approve annual budgets, financial reports, and fundraising strategies to ensure the organisation's financial sustainability.
- Monitor financial performance, investments, and fundraising activities to ensure alignment with strategic goals.
Risk Management:
- Identify and assess potential risks to the organisation's mission and operations, and work collaboratively with the Board to develop risk mitigation strategies.
- Review and approve crisis management and contingency plans to safeguard the organisation's reputation and continuity.
Advocacy and Networking:
- Leverage your professional networks and expertise to advance the organisation's mission and promote its activities.
- Participate in relevant events, conferences, and stakeholder engagement to enhance the organisation's visibility and partnerships.
Board Engagement:
- Attend and actively participate in Board meetings, committee meetings, and relevant training sessions.
- Collaborate with fellow Board members, executives, and staff to ensure effective communication and decision-making.
Qualifications and Requirements for all NED board members
- Australian Company Directors Institute (AICD) graduate qualifications for Company Director. AICD attendance/participation/membership (or equivalent) would be considered.
- Demonstrated commitment to the organisation's mission and values.
- Extensive experience in a relevant industry/sector, preferably in a leadership capacity.
- Knowledge of not-for-profit governance principles, preferably within the Australian context
- Understanding of legal and regulatory requirements for not-for-profit organisations in Australia.
- Strong analytical, strategic thinking, and problem-solving skills.
- Excellent communication, interpersonal, and networking abilities.
- Ability to commit the necessary time and effort to fulfil the responsibilities effectively.
- Willingness to serve as a volunteer non-executive director (NED) without financial compensation.
- A current Director's Identification Number will be mandatory. If you do not have one but are in progress obtaining one this would be considered.
Time Commitment
The role of Non-Executive Director typically requires attendance at up to 4 Board meetings per year, as well as participation in relevant committee meetings, strategic planning sessions, and occasional events. The estimated time commitment is approximately 4 hours per month on average. Whilst travel to our Bali site is not currently required, it may be beneficial in the future. Some indication of your willingness and ability to travel would be useful.
