Position Overview:
As the Company Secretary of the Women’s Resilience Centre, you will play a pivotal role in ensuring the effective governance and compliance of the organisation.
This position requires a highly organised and detail-oriented individual with a deep understanding of legal and regulatory requirements applicable to charities.
The Company Secretary will be responsible for maintaining accurate records, facilitating communication between the Board of Trustees and the executive team, and ensuring that the charity operates in accordance with its governing documents and relevant laws.
Key Responsibilities:
Corporate Governance:
- Advise the Board of Trustees on governance matters, legal responsibilities, and best practices.
- Organise and attend board meetings, ensuring timely distribution of meeting materials and accurate recording of minutes.
- Maintain and update the charity's governing documents, policies, and bylaws.
Compliance:
- Monitor changes in legislation affecting charities and ensure the organisation's compliance with relevant laws and regulations.
- File necessary statutory documents and reports with regulatory authorities.
- Coordinate with legal counsel to address legal matters affecting the charity.
Records Management:
- Maintain and update official records, including minutes of meetings, resolutions, and legal documents.
- Oversee the organisation's register of members and ensure it is accurate and up to date.
Communication and Liaison:
- Act as a central point of communication between the Board of Trustees, executive team, and external stakeholders.
- Facilitate communication and information flow to and from the Board, ensuring timely dissemination of key information.
Annual Reporting:
- Prepare and file the charity's annual report and financial statements in accordance with regulatory requirements.
- Assist in the preparation of the annual general meeting, ensuring compliance with legal obligations.
Training and Development:
- Provide guidance and training to board members on their roles and responsibilities.
- Stay informed about developments in governance and legal requirements affecting charities.
Qualifications:
- Bachelor's degree in law, business administration, or a related field.
- Proven experience as a company secretary, preferably in the nonprofit sector.
- Strong understanding of charity law, governance principles, and regulatory requirements.
- Excellent organisational and communication skills.
- Attention to detail and the ability to maintain confidentiality.
- Proficiency in relevant software and technology tools.
