Non-Executive Director (Voluntary)

Underwater Earth

We are seeking an independent Non-Executive Director, resident in Australia (ideally NSW), to grow and increase the diversity of experience offered by our small, nimble board of directors. It is critical this new addition has a passion for the ocean, recognises the value of creativity and communication and has capacity and willingness to be an active contributor in the ongoing evolution of this uniquely placed charity. Business acumen is favoured over non-profit experience but both would be welcomed.

About the opportunity

Underwater Earth is a company limited by guarantee, and an environmental charity registered with both ACNC and REO with full DGR status. Our registered office is in Sydney with our executive team and board based in NSW and overseas.

The role of the Board is to

  • Support our organisation’s growth as we seek to realise our vision and mission;
  • Provide overall strategic and financial guidance into the next stage of our journey;
  • Embraces innovation and agility, moving quickly and adapting as needed;
  • Guide and monitor the management of the company.

Board meetings are held as required, and at a minimum every 3 months. They are held remotely given the geographical spread of the board, working to optimise time zones. Normally this equates to early-to-mid evening NSW-time.

This is a volunteer (unpaid) position.

Open to applicants resident in Australia only (preferable NSW) given governance/compliance requirements.

Essential selection criteria

  • A passion and strong interest in ocean conservation.
  • Business acumen, particularly around monetising quality content or attracting ESG investors and philanthropists.
  • Experience and aspiration to contribute at a strategic level to evolving and improving our hybrid, social enterprise business model.
  • Ability to harness connections and generate investment opportunities ranging from philanthropy to commercial partnerships.
  • Knowledge of the responsibilities of a Non-Executive Director, including an understanding of the legal, ethical, fiduciary, and financial responsibilities of Board members.
  • The ability to read and comprehend the company’s accounts and financial material presented to the board.

Highly desirable skills and expertise

  • Creative arts, media, marketing, brand, and communications expertise.
  • Ability to harness connections and generate funding opportunities for the organisation.
  • Non-profit knowledge whilst not required would be considered an added benefit.
  • Likewise, experience in governance is not critical but willingness to develop that expertise is key.
  • Environmental science/conservation expertise would prove very valuable.
