We are seeking a Head of Legal/Company Secretary to work as part of our senior leadership team, lead our legal function and company secretariat team and work collaboratively as a business partner across the organisation. Reporting to the COO but also working closely with the CEO, Board and team leads, this role will suit a hands-on, entrepreneurial and business-focussed lawyer who thrives in fast-paced and dynamic environments, enjoys interacting with a diverse range of stakeholders and takes pride in the quality of their work.

Priorities - the work

  • Provide strategic, business-focussed legal advice to the senior leadership team and contribute to leadership, managerial and strategic decisions
  • Work collaboratively as a valued partner to each team within Hireup HQ on a whole spectrum of legal matters that apply to the business and our services/product including employment law, industrial relations and management of a Modern Award (SCHADS), risk, commercial contracting, IP, criminal law, data security and management, human rights law, consumer and property law, incident and disputes management and compliance matters
  • Lead a small team & support them with matter management and their ongoing professional development
  • Hold the role of Privacy Officer, manage the Privacy Policy and work with the Privacy Team to respond to queries
  • Promote legal, compliance and risk management best practice throughout the company in collaboration with the Head of Risk and compliance teams
  • Represent the legal perspective on major projects and business strategic goals
  • Keep the business up-to-date with changes to legislation and regulations, particularly in relation to the disability sector, technology, innovation and employment spaces
  • Hands on involvement with (supported by the Legal Counsel) general legal work

With the support of our Assistant Company Secretary, you’ll also be responsible for:

  • Ensuring Hireup complies with statutory obligations, requirements of ASIC and other regulators
  • Work with senior leaders to identify any matters that should be brought to the attention of the Board or Committees
  • Assist with development, implementation, communication and maintenance of compliance policies, processes and procedures
  • Understand the key governing documents (including the Shareholders’ Deed and Constitution) and the Board and Committee policies and procedures and ensure they are complied with at all times
  • Attend all Board and Committee meetings and manage minutes, actions and governance processes
  • Help to organise and facilitate the induction and professional development of directors
  • Comply with the duties and responsibilities of a Company Secretary (under the Corporations Act and any other relevant legislation)

Skills - the person

  • Ideally 8-10 years of post-admission experience with experience as a senior in-house lawyer
  • Experience acting as Company Secretary or working within a highly effective company secretariat team is highly desirable
  • Experience in a heavily regulated industry and/or experience in employment or IR law is desirable
  • Strong connection to, or interest in building an understanding of the Australian disability sector and community
  • A business and customer-centred focus with a desire to deliver a strong level of service
  • Ability to develop and maintain strong relationships with senior stakeholders including the CEO, COO, Chair, directors and senior leadership team
  • Ability to recognise and understand business risks and be heavily involved in the risk management process
  • Ability to balance and prioritise work and manage expectations of multiple stakeholders with a desire to operate largely autonomously with the support of a Legal Counsel and Assistant Company Secretary
  • Strong general commercial aptitude, legal skills and attention to detail
  • Enthusiasm, initiative and the willingness to manage a complex and diverse workload
  • Exhibit adaptability, resilience, transparency, trustworthiness, passion and innate curiosity
  • Are not excluded or disqualified from holding an officer or director position

The position is a full time 12 month maternity leave contract and the salary will be dependent on experience.
