FREO2 Foundation (FREO2) is a global non-profit committed to reducing child mortality from respiratory failure in low-resource settings. Respiratory failure claims the lives of over 1.6 million children under the age of five every year. This includes fatalities from pneumonia, birth asphyxia and preterm births. Despite the preventable nature of these deaths, children residing in low-resource settings face significant barriers to accessing life-saving treatment.

At FREO2, we offer Oxygen as a Service (O2aaS) — a reliable, affordable, and accessible solution. O2aaS comprises innovative products ensuring an uninterrupted oxygen supply, clinical training for timely diagnosis and treatment, and technical training for sustainable maintenance and support. Partnering with remote healthcare facilities in under-resourced communities, we ensure that oxygen reaches areas where its impact is most valued; contributing to a world where every child can breathe, live, and thrive.

About the Role

FREO2 is seeking an experienced and independent non-executive Board Treasurer to join our Board of Directors. The Board Treasurer will play a pivotal role in overseeing the financial strategy and management of the organisation. The successful candidate will ensure the financial integrity of FREO2 by providing expert guidance on matters related to finance, funding, risk, and compliance. As a key advisor, you will review and analyse management accounts, financial statements, and reports provided to the board. Additionally, you will Chair the Audit, Risk & Finance Committee, contributing to the overall governance and strategic direction of the foundation.

Key Responsibilities

As the Board Treasurer, you will be responsible for:

  1. Financial Oversight: Provide financial leadership by analysing and interpreting financial statements, management accounts, and other financial reports.
  2. Audit, Risk & Finance Committee Chair: Chair the Audit, Risk & Finance Committee, ensuring rigorous oversight of financial processes, risk management, and compliance.
  3. Financial Strategy: Advise the board on financial matters, including funding, investments, risk, and compliance to ensure the financial health and sustainability of FREO2.
  4. Compliance and Governance: Ensure adherence to Australian statutory reporting requirements for not-for-profit organisations, maintaining the highest standards of corporate governance and financial integrity.
  5. Collaboration: Work closely with the board, management, and external auditors to ensure accurate financial reporting and decision-making.

Time Commitment (per month)

  • ~4 hours of scheduled meetings (Board and committee meetings).
  • 2-3 hours for documentation, record management, and reporting.

What You Bring

  • Sound knowledge of Australian accounting standards and statutory reporting requirements for not-for-profit organisations.
  • Experience reporting to ATO, ASIC, and ACNC is preferred.
  • Extensive experience and a keen eye for finance, accounting standards, and financial statement analysis.
  • Proven ability to Chair the Audit, Risk & Finance Committee.
  • Strong analytical skills for reviewing financial reports and providing strategic advice.
  • Expertise in advising on funding, risk, and compliance issues.
  • Chartered Accountant and/or CPA certification.
  • Experience with Xero accounting systems.
  • Demonstrated strategic thinking and governance capabilities.
  • Commitment to upholding the highest standards of financial integrity and ethical conduct.
  • Excellent communication and stakeholder engagement skills.
  • Previous experience as a Non-Executive Director with a not-for-profit or membership organisation is highly desirable.
